Terms & Conditions

1. Acceptance of Terms

By accessing or using the Lachem Business Operating System platform, website, or any associated services (collectively, the “Services”), you agree to be legally bound by these Terms and Conditions (“Terms”). These Terms constitute a binding agreement between you or the organization you represent (“Client” or “you”) and Lachem (“Lachem,” “Company,” “we,” or “us”).

If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not have such authority, or if you do not agree to these Terms, you must not access or use our Services.

2. Service Description

Lachem provides a Business Operating System (BOS) platform designed to help organizations build, manage, and optimize their business operations. Our Services include, but are not limited to:

  • Operations Dashboard and business intelligence tools
  • Workflow management and process automation
  • Team collaboration and department management
  • Business reporting and performance analytics
  • Process library and documentation management
  • Strategic planning workspace tools
  • Enterprise consulting and implementation services

3. Subscription and Payment

3.1 Subscription Plans

Access to our Services requires a valid subscription. Subscription plans, pricing, and included features are outlined on our Pricing page and in your executed Order Form or Service Agreement. All pricing is in USD unless otherwise specified.

3.2 Payment Terms

Payment is due as specified in your Order Form. For monthly subscriptions, payment is due at the start of each billing cycle. For annual contracts, payment terms are specified in the enterprise agreement. All fees are non-refundable except as explicitly stated in our Refund Policy.

3.3 Price Changes

Lachem reserves the right to modify pricing with 60 days' written notice. Existing subscriptions will not be affected until renewal. Enterprise agreements are governed by their specific contract terms.

4. Acceptable Use

You agree to use our Services only for lawful business purposes and in accordance with our Acceptable Use Policy. You must not:

  • Use the Services for any unlawful, harmful, or fraudulent purpose
  • Violate any applicable laws, regulations, or third-party rights
  • Attempt to gain unauthorized access to our systems or another user's account
  • Transmit malicious code, viruses, or disruptive software
  • Reverse engineer, decompile, or disassemble our platform
  • Resell or sublicense access to our Services without authorization
  • Use our Services to build a competing product

5. Intellectual Property

Lachem retains all ownership and intellectual property rights in the Services, including all software, algorithms, user interfaces, documentation, and brand assets. These Terms do not grant you any right, title, or interest in our intellectual property except the limited license to use the Services as described herein.

Your business data and content that you upload or create within the platform (“Client Data”) remain your property. You grant Lachem a limited license to use Client Data solely to provide and improve the Services.

6. Confidentiality

Both parties may have access to confidential business information during the course of the Services. Each party agrees to maintain the confidentiality of the other's Confidential Information using at least the same degree of care it uses to protect its own confidential information, and not less than reasonable care. This obligation survives termination of these Terms for a period of three (3) years.

7. Service Availability and Uptime

Lachem commits to maintaining 99.9% platform uptime as measured on a monthly basis, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 72 hours in advance. Uptime SLAs and service credits for downtime are governed by your enterprise agreement where applicable.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LACHEM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

LACHEM'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO LACHEM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Term and Termination

These Terms remain in effect for the duration of your subscription. Either party may terminate for material breach with 30 days' written notice if the breach is not cured within that period. Upon termination, you will have 30 days to export your Client Data, after which it will be securely deleted in accordance with our data retention policies.

10. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property violations.
